TERMS AND CONDITIONS OF USE 
For the Parents' Choice Foundation Website

Parents' Choice Foundation ("Parents' Choice" or the "Foundation") provides this website, located at www.parents-choice.org (this "Site"), to you, subject to your compliance with these terms and conditions ("Terms and Conditions").  If you do not agree to abide by these Terms and Conditions, you may not access the Site or any portion thereof.

Use of the Site:

The Site is made available by Parents' Choice to provide information relating to the Foundation, the Parents' Choice Awards program, and other Parents' Choice initiatives in the advancement children's literacy and learning.  As a condition to your use of the Site you agree that you will only use the Site for lawful purposes and will not use the Site to infringe the intellectual property rights of Parents' Choice or others in any way.  You agree that you are only authorized to visit, view and retain a single copy of the pages on this Site solely for your own individual, non-commercial use or on behalf of your organization, for purposes of obtaining information about Parents' Choice and the services and programs it offers.  Subject to the foregoing and except as expressly permitted by these Terms and Conditions, you may not duplicate, download, publish, modify or otherwise distribute any material contained in this Site for any purpose without the express written consent of Parents' Choice.  The Foundation posts legal notices, including trademark and copyright notices, and various credits on pages of the Site, which may not be removed even in your permitted copy.

Modifications:

Parents' Choice reserves the right, at any time, to modify these Terms and Conditions and post legal notices or terms on other pages of the Site which may supersede certain of these Terms and Conditions.  Such modifications, notices and additional terms shall be effective immediately upon posting, and your continued use of the Site following any such posting shall be deemed to conclusively indicate your acceptance thereof.  Parents' Choice also reserves the right, at any time, to modify or discontinue this Site or any component thereof.

Prohibited Activities on the Site:

It is a condition of your use of the Site that you do not restrict or inhibit any other user from using the Site.  In addition, you may not use the Site to:
·	Engage in or encourage conduct that would constitute fraud or any other criminal offense or give rise to civil liability; 
·	Distribute in any manner any harmful, obscene or otherwise illegal or objectionable material of any kind;
·	Impersonate any individual or entity, or forge, delete or alter any part of TCP/IP packet header information in any e-mail or other posting, or open any packet not intended for you:
·	Violate or attempt to violate, the security of Parents' Choice, including by accessing any page of the Site that is not intended for public access; or
·	Assist or permit any persons in engaging in any of the activities described above.

Intellectual Property Rights; Trademarks:

All content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, and the compilation of all content on this Site, is the exclusive property of Parents' Choice or its content suppliers, and protected by United States and international copyright and trademark laws.  PARENTS' CHOICE, PARENTS' CHOICE AWARDS and the PARENTS' CHOICE AWARD SEALS are registered trademarks of Parents' Choice and may be used publicly only with prior written permission of Parents' Choice.

WARRANTY DISCLAIMER:

YOUR ACCESSING AND USING THE SITE IS AT YOUR SOLE RISK.  THE SITE AND ALL CONTENT THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT OR ACCURACY. LIMITATION OF LIABILITY:

YOU EXPRESSLY UNDERSTAND AND AGREE THAT PARENTS' CHOICE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF THE SITE, OR YOUR PURCHASE OR USE OF ANY PARENTS' CHOICE AWARD WINNING PRODUCT, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF PARENTS' CHOICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

Applicable Laws; Dispute Resolution:

The substantive laws of the State of Maryland (without regard to Maryland conflict of laws provisions) will govern all claims arising out of the use of this Site and these Terms and Conditions.  If a dispute arises out of your use of the Site or these Terms and Conditions (with the exception of rights to injunctive relief which the Parents' Choice reserves for claims relating to its intellectual property rights), and the parties have not been successful in resolving the dispute through direct negotiation, then the dispute will be resolved in binding arbitration in the State of Maryland in accordance with the Commercial Arbitration Rules of the American Arbitration Association.  The cost of arbitration will be borne equally by the parties pending the award.  Upon the decision of the arbitrator, the prevailing party will be entitled to receive from the other party its reasonable attorneys' fees and arbitration costs.

BY USING OR ACCESSING THE SITE YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS.

Our Policy Generally:

Parents' Choice Foundation ("Parents' Choice" or the "Foundation") takes your privacy concerns seriously and does not collect personally identifying information about you when you visit this website (this "Site") unless you choose to provide such information to us.  This means that you can visit the Site without telling us who you are or revealing any information about yourself or your organization.  As explained more fully below, when you choose to provide us with information about yourself or your organization when using the Site, Parents' Choice uses that information solely for the stated purpose for which it invited you to submit such information.  For example, we may use it to respond to your request for information relating to the Parents' Choice Awards program, or other Parents' Choice initiatives in the advancement children's literacy and learning.  You may also be given an opportunity to become a member of Parents' Choice, in which case, we use the information you provide us in the manner discussed below.

Information Automatically Gathered by the Site and How Such Information is Used:

As you browse the Site, our web servers may collect information about your visit, but not about you personally or your organization.  For example, we monitor statistics such as how many people visit the Site; which pages people visit on the Site; from which domains our visitors come; and which browsers people use to visit the Site.  Parents' Choice may use these general statistics to improve the Site, to monitor its performance, and to make the Site easier for you and other visitors to use.

Information You Might Provide to Parents' Choice and How Such Information is Used:

From the "Contact Us" section of the Site, you may contact Parents' Choice to request entry forms for the Parents' Choice Awards program, to request guidelines and information on Parents' Choice Awards seals or other information about the Foundation.  When you contact us in the foregoing manner, we only use the information you provide us, including your e-mail address, to respond to your particular request.  We may store your e-mail address for our record keeping purposes only.

From the "Search" function, you can perform online searches to retrieve information contained on our Site.  We do not store the search criteria you submit or the generated search results in any manner that identifies you personally or your organization.  We may, however, use general information obtained from the use of the Search function for our own internal purposes and to improve the Search function.

Registration, Use of Membership Information and Your Ability to Opt Out:

In order to have access to certain Parents' Choice services or content, you may be required to complete an online membership registration form.  We use the membership information that you provide to respond to your inquiries and to send you emails with special promotions or various content from the Foundation or third party organizations that we think may be of interest to you.  You can always opt-out of receiving such emails or content at the time you register or at any time thereafter.  Specifically, when you complete the registration process or update your membership information, you will be given the ability to "opt out" of receiving future e-mails or content from Parents' Choice. To update your membership information and/or to opt out, simply send an email to newsletter@parents-choice.org, using either Update or Unsubscribe in the subject line.
Disclosure of Your Information:

Except as set forth in this Privacy Policy or as specifically agreed to by you, it is the policy of Parents' Choice not to disclose any information we gather from you on the Site that identifies you personally or your organization.  However, Parents' Choice reserves the right at all times to disclose any information you provide as necessary to satisfy any law, regulation, court of law or governmental request.

Disclosure to Linked Sites:

For your convenience, links to websites operated by third parties may appear on the Site.  Parents' Choice does not disclose the information you provide us to these third party websites and we do not endorse and are not responsible for the privacy practices of these sites.  If you choose to link to one of these third party websites, you should review the privacy policy posted on that site to understand how that third party website collects and uses your information.

A Special Note About Children:

Parents' Choice is committed to protecting the privacy of children.  This Site is not designed or intended to attract children under the age of 13 and Parents' Choice does not collect personal information from any person we actually know is under the age of 13.

How Parents' Choice Handles Privacy and Security Internally:

Parents' Choice wants the information you provide us to remain as secure as possible.  Accordingly, we take appropriate measures to ensure such security, including technical safeguards such as SSL encryption. Parents' Choice also maintains a strict requirement that our employees abide by our Privacy Policy.  Although we will make every reasonable effort to protect the information you provide, you should be aware that no security system is foolproof and there is always some degree of risk involved in transmitting information over the Internet.
